Terms & Conditions

The terms governing your use of iquest.ind.in and the services provided by IQuest Solutions.

1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "Client") and IQuest Solutions ("IQuest", "we", "us", "our"), operator of iquest.ind.in (the "Website"). By accessing the Website, submitting an enquiry, or purchasing or engaging any of our services, you agree to be bound by these Terms and by our Privacy Policy, Cancellation & Refund Policy and Shipping & Delivery Policy. If you do not agree, please do not use the Website.

2. Our Services

IQuest provides information-technology consulting and professional services, including but not limited to: data engineering, data strategy, analytics and business intelligence; cloud strategy and cloud computing; digital and agile transformation; UX strategy and design; quality engineering and testing; automation; IT staffing, staff augmentation, recruitment process outsourcing, managed services and offshore development. Descriptions on the Website are indicative; the definitive scope of any engagement is set out in the applicable proposal, statement of work ("SOW") or service agreement executed between the parties.

3. Engagements, Proposals & Quotes

  • All proposals and quotations are valid for 30 days from the date of issue unless stated otherwise.
  • An engagement commences only upon written acceptance of a proposal/SOW and, where applicable, receipt of the agreed advance payment.
  • Changes to scope are handled through a written change request and may affect timelines and fees.

4. Pricing & Payments

  • Fees are as stated in the applicable proposal, SOW or invoice, and are exclusive of applicable taxes (including GST) unless expressly stated otherwise.
  • Invoices are payable within the period stated on the invoice (default: 15 days from the invoice date).
  • Online payments on the Website are processed securely through Razorpay. We do not collect or store your card, UPI or banking credentials. All payment information is transmitted directly to the payment gateway over encrypted channels.
  • All amounts are charged in Indian Rupees (INR) unless otherwise agreed in writing.
  • We reserve the right to suspend services or withhold deliverables for invoices that remain unpaid beyond the due date, after reasonable notice.
  • In case of a failed, duplicate or erroneous transaction, please refer to our Cancellation & Refund Policy.

5. Client Obligations

You agree to provide timely access to the information, personnel, systems and approvals reasonably required for delivery of the services; to ensure you have the right to share any data or materials you provide to us; and to use deliverables in compliance with applicable law.

6. Intellectual Property

  • The Website, its design, text, graphics and the IQuest name and logo are the property of IQuest Solutions and may not be reproduced without our prior written consent.
  • Ownership of project deliverables is as specified in the applicable SOW. Unless otherwise agreed, upon full payment of all applicable fees, the Client receives the rights in bespoke deliverables set out in the SOW, while IQuest retains ownership of its pre-existing materials, tools, know-how and methodologies, which are licensed to the Client to the extent needed to use the deliverables.

7. Confidentiality

Each party will keep the other party's non-public business, technical and financial information confidential, use it only for the purpose of the engagement, and protect it with at least reasonable care. This obligation survives the end of the engagement. Specific engagements may be governed by a separately executed non-disclosure agreement, which will prevail over this clause.

8. Warranties & Disclaimers

We warrant that services will be performed in a professional and workmanlike manner by appropriately skilled personnel. Except as expressly stated in these Terms or an applicable SOW, the Website and services are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, IQuest's aggregate liability arising out of or in connection with an engagement shall not exceed the fees paid by the Client for the specific services giving rise to the claim in the six (6) months preceding the event. Neither party shall be liable for indirect, incidental, special or consequential damages, or loss of profits, revenue or data. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Acceptable Use of the Website

  • Do not attempt to gain unauthorised access to the Website, its servers or connected systems;
  • Do not use the Website to transmit malware, spam or unlawful content;
  • Do not scrape, copy or republish Website content for commercial purposes without permission.

11. Termination

Either party may terminate an engagement in accordance with the applicable SOW or, where the SOW is silent, by thirty (30) days' written notice. On termination, the Client shall pay for all services rendered and non-cancellable commitments incurred up to the effective date of termination. Clauses relating to payment, intellectual property, confidentiality, and limitation of liability survive termination.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any dispute-resolution mechanism agreed in an SOW, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Website.
